“Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions.
“The Company”, “Ourselves”, “We”, “Our”, “Legacy Live” and “Us”, refers to Legacy Live Web (Pty) Ltd.

“Party” or “Parties” refers to both the Client and ourselves, or either the Client or ourselves.

All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of South Africa. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

Intellectual Property Rights

Other than the content you own, under these Terms, Legacy Live (Pty) Ltd and/or its licensors own all the intellectual property rights and materials contained in this Website.

You may view and/or print pages from https://legacy.live for your own personal use subject to restrictions set in these terms and conditions.

You are granted limited license only for purposes of viewing the material contained on this Website.

In cases where Legacy Live has been mandated to produce new intellectual property for the client, full rights and ownership belong to Legacy Live until full payment (as contractually agreed to) has been received. Once this payment has been received full rights and ownership of this mandated product are considered transferred to the client.

Restrictions

You are specifically restricted from all of the following:

• publishing any Website material in any other media except for through the use of social media sharing buttons embedded on the Website;
• reproduce, duplicate or copy material from https://legacy.live;
• selling, sublicensing and/or otherwise commercializing any Website material;

• Suspend the Service at any time for any duration of time when necessary, without penalty or liability to ourselves.

You agree that it may be necessary for us to temporarily suspend the Service for technical reasons or to maintain network equipment or facilities.

Removal of links from our website

If you find any external link on our Web site or any externally linked website objectionable for any reason, you may contact us about this. We will consider requests to remove links but will have no obligation to do so or to respond directly to you.

In no event will Legacy Live be liable to you for any direct, indirect, incidental or consequential damages or economic loss arising out of the Service or in connection with your website or any other services or products provided to you.

No Refunds or Returns unless elsewhere specified

Legacy Live Web (Pty) Ltd does not process refunds or returns on services unless there exists another standing agreement stimulating a refund or returns policy between the client and Legacy Live. A statement on an invoice or quotation stating a refund or return commitment is considered a binding refund or return agreement but needs to be interpreted within the context of the entire document.

Limitation of liability

In no event shall Legacy Live (Pty) Ltd, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract.  Legacy Live (Pty) Ltd, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent Legacy Live (Pty) Ltd, its affiliates, sponsors, partners, directors, officers and employees as harmless from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms; and to reimburse Legacy Live with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to your breach of this Agreement or use by you or any third party of the Services.

Whilst we endeavour to ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that the website remains available or that the material on the website is kept up to date.

Severability

If any part of this Agreement is found to be invalid under any applicable law, such part will be ineffective to the extent of such invalid part only, without affecting the remaining parts of this Agreement in any way.

Legacy Live (Pty) Ltd is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

Assignment

These Terms will be governed by and interpreted in accordance with the laws of the Republic of South Africa, and you submit to the non-exclusive jurisdiction of the Republic and government courts located in South Africa for the resolution of any disputes.

You may be subject to other local, provincial or state and national laws. We shall be entitled to institute legal proceedings in connection with any matter arising under this Agreement in any jurisdiction where you reside, do business or have assets.

Age of Majority

Legacy Live does not accept agreements and payments from persons under the legal age of 18 years. By submitting your account application, you confirm that you are over 18 years of age or your parent or legal guardian has agreed to accept this Agreement on your behalf.

Access to Services

Legacy Live Web (Pty) Ltd is in no way restricted by geographic location in terms of service delivery and we offer our services to all countries and locations. Payments might not be payable in your own currency. It is also the sole responsibility of the client to ensure that the service requested and delivered is not in any way in contravention of the client’s local laws and regulations. Certain services may require internet access to be fully utilised. 

Services and Usage

Legacy Live Web (Pty) Ltd is in the e-commerce and online web development, hosting and graphic design industry. We offer the following services:

1) This Website offers Subscribers domain name registration, cloud storage hosting, website hosting, and email hosting services for the duration of the service term purchased from The Website.

Services are provided on the basis of facility and equipment availability. The Website reserves the right to modify, change, or discontinue any aspect of the Services at any time.

Access to the web and email servers is terminated upon expiry of the Service.

In addition to the access of these services, users may at the discretion of Legacy Live be permitted to manage their hosted accounts on this Website including but not limited to the management of WordPress accounts, CPannels, and DNS records.

2) We offer website development services that include but are not limited to website design, template design, plugin development, and content creation.

3) We offer advertising services that include but are not limited to advertising on YouTube, Google and Facebook. Prices for such are subject to change by the same margin as pricing changes made by these third party entities and may be changed accordingly without notice.

4) We offer graphic design services that include but are not limited to image creation and manipulation, photography, 2D animation creation and manipulation, videographic compilations, 3D modelling, 3D animation and manipulation.

Our services may, at the sole discretion of Legacy Live include the use of third party plugins and services if this is not an infringement on intellectual property rights and if they are considered by Legacy Live as (a) safe to use (b) reliable in performing services as described..

Termination / Plan Change / Refund Policy

Legacy Live may terminate your Service under the following circumstances (non-exclusive list):

• Non-payment of fees
• You are in breach of any term or condition of this Agreement
• Your use of the Service disrupts Legacy Live’s business operations

All Subscriber data is removed from Legacy Live’s servers for such terminations.

You may request account termination or hosting plan changes at any time by contacting our Customer Service team by phone, chat, email, WhatsApp or case ticket. Our contact information can be found on the Contacts page of our website.

When submitting your cancellation request, you must provide the correct username and password for your account for verification. Incomplete cancellation requests will be deemed invalid and will not be processed. You will be responsible for any service fees that arise from your failure to cancel your account.

Refunds will not be given for services that are billed monthly or for one-time service fees, such as web design fees, file recovery fees, domain redemption fees, etc. You are eligible for a refund on hosting services that are not billed monthly under the following circumstances:

• If you cancel your account within 30 days of sign-up, you will, upon request, receive a full refund on the hosting fees paid, less any setup fees or one-time service fees. The refund will be made within 30 days.
• If you cancel your account within 45 days of a hosting service renewal, you will, upon request, receive a 50% refund on the hosting fees paid on your most recent renewal. The refund will be made within 30 days.
• If you cancel your account within 14 days of a hosting plan change, you will, upon request, receive a full refund on the hosting fees paid on your most recent hosting plan change, less any setup fees or one-time service fees. The refund will be made within 30 days.

Only one refund may be issued for each invoice. Legacy Live reserves the right to grant or deny any refund requests.

Domain name registrations, regardless of whether it is an initial registration or a renewal of an existing registration, cannot be cancelled and will remain in effect until the end of the registration term.

For one-time service fees cancelation is only possible if no work has been done on an order. In this case a full refund will be made within 30 days. 

In addition, if the product does not meet the description provided, it is your responsibility to notify Legacy Live of this. Legacy Live will then have 14 days to make all relevant changes and deliver the service/product that matches the product/service description. If such amendments are not completed within this time frame the client will receive a full refund within 30 days and will lose all access rights to any services or products delivered that pertain to this payment.

Entire Agreement

This Agreement, as may be updated from time to time and posted at https://legacy.live/terms-and-conditions/, represents the complete agreement and understanding between us with respect to the Service and supersedes any other written or oral agreement.

Web Hosting

All Legacy Live’s web hosting accounts will display a “Coming Soon” web page by default when activated. This page informs visitors that the Subscriber has recently set up their account with Legacy Live. The “Coming Soon” default index web page may be removed by the Subscriber at any time once they have access to the web server. The “Coming Soon” web page may include, but without limitation to, the following:

• Links to additional products and services offered by Legacy Live
• An internet search engine interface.

All web page error requests (such as 403 errors or 404 errors) will direct traffic to a default Legacy Live error page. This error page informs visitors that the web page they are looking for cannot be found, and may include, but without limitation to, the following:

• Links to additional products and services offered by Legacy Live.
• An internet search engine interface.

At its sole discretion, Legacy Live may place a link to this Website at the bottom of your website in the same line as or below your copyright statement.

Depending on which hosting plan you choose, you may request to change the billing term of your hosting service through your account profile page. In such cases, the expiry date of your hosting service will be adjusted according to the billing term that you have requested. Any optional features for your hosting plan will be billed according to the term that you have requested.

If your hosting plan includes a free domain name, you may be required to pay a fee to reimburse Legacy Live for the domain name registration upon changing to another hosting plan or a billing term that does not include a free domain name. The amount of this fee will vary depending on the domain extension and on the registration term.

All Legacy Live’s web hosting services, including service trials and promotional hosting offers, and their billing terms may be prorated and adjusted to expire on the last day of a month.

All service trials and promotion offers are considered to be delivered in full upon the completion of the service term stated on the trial or offer invoice found in your account profile. Legacy Live is not obligated to provide reimbursement for any proration or service term adjustment on service trials or promotional offers.

Promotional offers, including special introductory rates, promotional rates, or any non-regular pricing, are only valid for the initial term and may be selectively available for certain customers based on a specific rubric contextualised by relationship with Legacy Live and not on personal attributes. All hosting services will renew at the regular renewal rate.

In the absence of a cancellation request from you, your hosting service may be renewed for a successive term, at the regular renewal rate, on the 16th day of the expiry month.

Website Builder

Legacy Live provides Subscribers with a non-exclusive, non-transferable, limited license to use the Website Builder. Legacy Live does not claim ownership and is not responsible for any of the information, code, data, text, software, music, sounds, photographs, pictures, graphics, videos, messages, files or other materials (“User Content”) submitted using the Website Builder. The Subscriber is entirely responsible for all User Content uploaded, posted, emailed or otherwise transmitted via the Website Builder.

It is at Legacy Live’s sole discretion whether to assist any Subscribers with any reproduction, recovery, or distribution of any User Content. Upon service cancellation or termination for any reason, access to the Website Builder, including all User Content, third party content, and user information uploaded, posted, emailed, or otherwise transmitted via the Website Builder, will be removed by Legacy Live.

Legacy Live makes no representations or warranties, either expressed or implied, with respect to the images offered through the Website Builder (the “Images”).

In the event of a dispute regarding any Image obtained via the Website Builder, you hereby release Legacy Live, its officers, directors, owners, agents, and employees from claims, demands, and damages, actual and consequential, of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any connection with such disputes. Legacy Live is not a party to, and shall not be involved in or responsible for, transactions, agreements, and/or disputes between you and any third party.

You may only use the Images on your website, while the website maintains an active service subscription with Legacy Live.

Legacy Live is not liable for any illegal activity (or its consequences) conducted by the User that contravenes either national or international laws applicable to either the state of the User or the Republic of South Africa. Notwithstanding, Legacy Live reserves the right to, but is not liable for, the removal of any content, with or without warning, with or without third party disputes, from a User’s site that is in contravention of these laws and does not accept any liability for the consequences of such actions.

Email

Legacy Live’s email service provides customers with the capability to send and receive email via the Internet. Legacy Live retains the right, at our sole discretion, to restrict the volume of messages transmitted or received by you in order to maintain the quality of our email services to other Subscribers and to protect our computer systems.

As an owner and operator of the equipment and other resources utilized to provide services, Legacy Live has the legal right to block electronic communications from other entities on the Internet.

Definition of Unlimited Usage

What “Unlimited” means: Legacy Live does not set an arbitrary limit on the amount of resources an account can use.

What “Unlimited” DOES NOT mean: The accounts are not intended to support the greater web hosting needs of large enterprises or to be used as an online storage warehouse to store backups, archiving of electronic files or emails, documents, log files, etc. or to be used as a media file streaming/sharing hub.

Reselling any of the Service’s resources is strictly prohibited. Any accounts found to be reselling resources will immediately be suspended, with or without notice. Reselling of account resources is only permitted if you are using a Reseller Hosting Plan, a Virtual Private Server (VPS) or a Dedicated Server.

Legacy Live’s “Unlimited” services are provisioned in a shared hosting environment. Any account found to be adversely affecting the performance of other Subscriber accounts by excessively using network bandwidth, server storage, memory or CPU resources, will be flagged by Legacy Live administrators and anti-abuse controls. These Subscribers will then be asked to consider Virtual Private Server (VPS) or Dedicated Server services. Serious offenses will result in the account service suspension or termination, with or without notice.

Domain Name Registration

Legacy Live offers domain name registration and renewal services in partnership with ICANN accredited registrars In2net Network Inc, Tucows, and Network Solutions. Legacy Live processes registration and renewal services through these respective registrars at its discretion.

You acknowledge and agree that you may not transfer the domain name registration to another domain name registrar during the first 60 days of the initial registration, or within 60 days of any successful transfer or renewal of the registration. Legacy Live is authorized to deny any such transfer requests.

You acknowledge and agree that Legacy Live may, but is not obligated to, place your domain name in a Domain Lock status to prevent unauthorized transfers of your domain name.

Domain names which have opted in to the Automatic Domain Renewal service, and any optional features associated with them, will be automatically renewed for the minimum term available for that domain type at the regular renewal rate 6 days prior to expiry. You will be solely responsible for all renewal costs and for any other costs in doing so. Subscribers may choose to opt in or out of the Automatic Domain Renewal service via your account profile.

Promotional offers excluding free offers but including special introductory rates, promotional rates, or any non-regular pricing, are only available to new customers and are only valid for the initial term. All domain names registrations will renew at the regular renewal rate. When a free domain is referred to in a Service description, this will only include domains that Legacy Live at its sole discretion considers to be a standard domain name and does not include premium domains.

Subscribers who have purchased their domain name registration at a promotional price may be subject to a Domain Transfer Fee when they transfer their registration to another domain name registrar during the purchased registration term.

Subscribers who wish to transfer their domain name registration to another domain name registrar while the registration is expired are also subject to a Domain Transfer Fee.

The Domain Transfer Fee is based on the domain type and is subject to any applicable taxes.

In addition to this Agreement, new domain registration accounts are also subject to the Domain Registration Agreements of the respective governing registries.

Service Fees / Payments / Invoices / Payment Options

The merchant outlet country at the time of presenting payment options to the card holder is South Africa. All Legacy Live’s fees and charges are quoted and billed in South African Rands unless otherwise noted.

Members may have the option to pay service fees in another currency. The exchange rate used (“Exchange Rate”) is subject to change from time to time and Legacy Live does not accept liability for the consequences of these fluctuations. All quotations and invoices will include the South African Rand (ZAR) amounts and are exclusively used as valid indications of amounts payable and true records of amounts paid.

Legacy Live uses an automated payment processing system and only accepts credit cards, bank transfer into the Legacy Live bank account, or PayPal payments at this time. Specifically, payments may be made via Visa, MasterCard, Diners or American Express Cards. All Subscribers are required to maintain valid payment information for the processing of any applicable service fees.

Card transactions will be acquired for Legacy Live via PayGate (Pty) Ltd who are the approved payment gateway for all South African Acquiring Banks. DPO PayGate uses the strictest form of encryption, namely Secure Socket Layer 3 (SSL3) and no Card details are stored on the website. Users may go to www.paygate.co.za to view their security certificate and security policy.

Customer details will be stored by Legacy Live separately from card details, which are entered by the client on DPO PayGate’s secure site. For more details on DPO PayGate refer to www.paygate.co.za.

At its sole discretion, Legacy Live may use credit card issuer-approved services, such as VISA Account Updater and MasterCard Automatic Billing Updater, to acquire updated payment information for the purpose of processing outstanding payments that are on your account.

Legacy Live may take any reasonable action to validate your payment and registration information, and collect all payments due. You agree to pay all attorney and collection fees arising from any efforts to collect any past due amounts from you, to the extent allowed by law.

Service fees for hosting packages and domain purchase and renewal are due at the time of order or on the day of renewal. In certain cases a 50% deposit for all service fees for any design or development services will be acceptable as an initial payment before this work commences, in such cases the remaining 50% is payable before transfer of the product and its associated intellectual property rights can be made.

Quotations and Invoices for all Legacy Live services can be found by logging into your account profile page.

Billing inquiries and disputes should be brought to Legacy Live’s attention within 30 days of the invoice date. Failure to do so will be deemed to be an admission that the invoice and charges are accurate.

If any chargeback or charge dispute notices are received for your account, services provided to you may be immediately suspended pending investigation, and you will be subject to chargeback service charges. Where applicable, Legacy Live reserves the right to put your domain name into “Registrar Hold” status and deny any transfer requests for that domain name until the chargeback or dispute issue has been resolved.

Accounts may be suspended if its service renewal fees are not paid within 72 hours of the due date. Accounts suspended in this manner can be re-activated upon payment of the Account Reactivation Fee (see below).

Any applications or requests for services will be declined if payment cannot be successfully processed within 72 hours of the order.

Legacy Live reserves the right to modify service fees and rates, effective upon posting on the Legacy Live website or on this Agreement.

Legacy Live may be mandated to create an online platform for the Client that can be utilised by the Client to receive payments. In these situations Legacy Live will select the third party Payment Gateway that  Legacy Live deems to be in the best interest of the client. Legacy Live is in no way liable for any damages, loss or additional costs that may result in the use of this platform but will not, unless otherwise contractually agreed receive any portion of funds received using this online platform.

Definition of “No Transaction Fees”

Legacy Live does not charge you any fees relating to the processing of transactions under your account (“Transaction Fees”). However, your selected payment processor, such as PayPal or Stripe, may still charge you Transaction Fees for each payment you receive. You will be solely responsible for any such Transaction Fees.

Schedule of Work

Once full payment has been made, an invoice will be available on the users account. Within 48 hours the client will receive an email detailing everything required by Legacy Live Web (Pty) Ltd to complete the mandated task(s). Once the client provides this information and/or required files, work will commence within a further 48 hours. A minimum of 8 hours will be spent on this project per week until all services are complete. If at any point additional information or media is required from the client these will be communicated and work may stop until this is provided. The client may request weekly progress reports. If the client makes this request, these will be sent every Friday (GMT+2). Once complete, the client will receive access to the completed product/service and will have one week within which to request changes or edits. These will then be implemented at a minimum rate of 5 hours per week. Any subsequent edits will be charged at 150ZAR per hour. 

Subscriber Responsibility

When you apply to use Legacy Live’s services, you will be asked to select a Subscriber ID and Password. The Subscriber ID and Password are the means through which you access certain services. You acknowledge and agree that it is your responsibility to safeguard the Subscriber ID and Password you select from any unauthorized use. IN NO EVENT WILL LEGACY LIVE BE LIABLE FOR THE UNAUTHORIZED USE OR MISUSE OF YOUR SUBSCRIBER ID OR PASSWORD.

Subscribers are responsible for maintaining accurate account information at all times, including credit card and contact information. This information can be updated in your account control panel.

Prohibited Conduct

The following is a non-exclusive list of content, and behavior prohibited by the Service:

• Content that contains or contains links to: nudity, pornography, adult content, materials with sex or foul language.
• Content that condones, promotes, contains, or links to warez, cracks, hacks, their associated utilities, or other piracy related information, whether for educational purposes or not.
• Content that has been promoted through the sending of Spam or mail fraud schemes, or pages that promote or condone the sending of Spam. The sending of bulk email originating from our servers mass distributed to unknown recipients soliciting products or services, or of bulk email NOT originating from our servers mass distributed to unknown recipients soliciting products or services relating to a Legacy Live account will result in immediate account suspension.
• Content that is grossly offensive to the community, including blatant expressions for bigotry, prejudice, racism, hatred or excessive profanity, or to post any obscene, filthy, excessively violent, harassing, or otherwise objectionable material.
• Content or otherwise that exploits children under 18 years of age.
• Content that sells or promotes any products or services that are unlawful in the location at which the content is posted or received.
• Content that infringes or violates any copyright, patent, trademark, service mark, trade name, trade secret, or other intellectual property right of any third party.
• Content that promotes mail fraud, multi-level marketing (pyramid) schemes or other illegal or fraudulent activities.
• Content that posts or discloses any personally identifying information or private information about any third parties without their express consent.
• Reverse engineering, reverse compiling or otherwise deriving the underlying source code or structure or sequence of any Legacy Live service, solution or technology.
• Reverse engineering, reverse compiling or otherwise deriving the underlying source code or structure or sequence of individual passwording of Subscriber Sites (or pages contained therein).

 

Notices

You agree that, unless other instructions are posted on The Website, any notices required to be given under this Agreement will be deemed to have been given if delivered by email or fax to each of the parties in accordance with the most current contact information you have provided to us, and the contact information for Legacy Live posted on the Legacy Live Website. Email and fax notices shall be effective upon transmission.

Force Majeure

Legacy Live will not be liable for any delay, interruption or failure in the provisioning of services if caused by an act attributable to nature without human interference, declared or undeclared war, fire, flood, storm, slide, earthquake, power failure, the inability to obtain equipment, supplies or other facilities that are not caused by a failure to pay, labour disputes, or other similar events beyond our control that may prevent or delay service provisioning.

Waiver

No waiver of any of the provisions of this Agreement will be deemed to constitute a waiver of any other provision nor shall such a waiver constitute a continuing waiver unless otherwise expressly provided in writing duly executed by the party to be bound thereby.

Country of domicile

This website is governed by the laws of South Africa and Legacy Live chooses as its domicilium citandi et executandi the address in the section below for all purposes under this agreement, whether in respect of court process, notice, or other documents or communication of whatever nature.
